1. Eligibility and business use only
DistrictOps Reconcile is intended for adult professional users acting on behalf of school districts, public-sector agencies, or other organizations evaluating or using the service for operational and financial reconciliation. You represent that you have authority to access the service and submit information for business purposes.
2. Account registration and account security
You must provide accurate registration information and keep it current. You are responsible for safeguarding your credentials, limiting access to authorized personnel, and promptly notifying DistrictOps of suspected compromise, unauthorized access, or misuse.
3. Permitted use and acceptable use
You may use the service only for lawful, authorized, and contractually permitted district or organizational workflows.
- Do not upload data you are not authorized to provide.
- Do not attempt to probe, bypass, disrupt, or reverse engineer the service except as allowed by law.
- Do not use the service to transmit malware, spam, deceptive content, or unlawful material.
- Do not use the service in a way that interferes with other users, service stability, or security controls.
4. Customer data ownership and permissions
District-provided exports, uploaded files, reviewer notes, and related workspace data remain the customer's data. You grant DistrictOps the limited rights necessary to host, process, secure, analyze, and return service outputs so we can provide the service in accordance with these terms and any applicable customer agreement.
5. Pilot limitations and beta features
Pilot environments, seeded demos, previews, and beta features may be incomplete, evolving, or subject to change. Availability, functionality, timing, and scope may differ by pilot design, export quality, reviewer setup, and negotiated service level.
6. Automated assistance and human review responsibility
DistrictOps provides automated assistance, including suggested matches, confidence scores, and exception flags. These outputs are decision-support materials only.
Outputs must be reviewed by authorized district staff before payment, vendor action, board submission, audit preparation, or any other consequential operational decision. District staff remain responsible for final decisions and source systems remain the systems of record.
7. Confidentiality and sensitive data handling
You should submit only the data reasonably necessary for the intended reconciliation workflow. Student data should be minimized or excluded unless its inclusion is necessary, contractually approved, and supported by district review. Both parties should treat non-public operational, financial, and security information as confidential, subject to any applicable customer agreement or law.
8. Fees, pilot invoicing, and non-payment
Paid pilots, upgrades, and district rollouts may be subject to separate order forms, quotes, or invoices. Unless a written agreement says otherwise, invoiced amounts are due under the payment terms stated in the applicable quote or invoice. DistrictOps may pause paid features for non-payment where legally and contractually permitted.
9. Suspension and termination
DistrictOps may suspend or terminate access if necessary to address security issues, unlawful conduct, material misuse, risk to the service, or violation of these terms. You may stop using the service at any time. Any negotiated customer agreement may define additional suspension, wind-down, or data-return terms.
10. Disclaimers of warranties
To the maximum extent permitted by law, the service is provided on an “as is” and “as available” basis. DistrictOps disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy. We do not warrant uninterrupted operation, error-free performance, guaranteed savings, guaranteed audit outcomes, or district-specific results within a fixed timeline.
11. Limitation of liability
To the maximum extent permitted by law, DistrictOps will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption arising from or related to the service. To the maximum extent permitted by law, DistrictOps' total liability for claims arising from the service will not exceed the amounts paid for the applicable paid pilot or service during the 12 months preceding the event giving rise to the claim, or if no fees were paid, one hundred U.S. dollars.
12. Indemnity
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless DistrictOps and its affiliates, officers, employees, and contractors from claims, losses, liabilities, and expenses arising from your misuse of the service, your violation of these terms, or your submission of data without the necessary rights or permissions. This section should be reviewed by counsel and may be modified in a negotiated customer agreement.
13. Governing law, dispute resolution, and venue
Unless a negotiated customer agreement provides otherwise, these terms are governed by the laws of the State of California, without regard to conflict-of-law principles, and disputes will be brought in the state or federal courts located there. Public-sector customers may require different governing-law or venue language, and this section should be reviewed by counsel before broader commercial launch.
14. Changes to these terms
We may update these terms from time to time. If we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice. Continued use of the service after updated terms become effective constitutes acceptance of the revised terms, unless a negotiated agreement says otherwise.
15. Survival
Sections that by their nature should survive termination or expiration will survive, including ownership, confidentiality, disclaimers, limitation of liability, indemnity, dispute provisions, and payment obligations.
